Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of InviterVideo (the “Service”), operated by Parakletos Solutions LLC (“we,” “us,” or “our”). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Acceptable Use Policy and Privacy Policy, which are incorporated here by reference. If you do not agree, do not use the Service.

1. Eligibility and age

You must be at least 18 years old to create an account or use the communication and video-sharing features of the Service. By using the Service, you represent and warrant that you are at least 18 years old and that you have the authority to enter into these Terms, including on behalf of any church or organization you register.

2. Accounts and church responsibility

You are responsible for the information you provide, for keeping your login secure, and for all activity under your account. A church account holder is responsible for the conduct of its members and staff on the Service and for ensuring they comply with these Terms.

3. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. In particular, you may not transmit, share, or store any content or communicate in any way that violates local, state, or federal laws, including but not limited to harassment, stalking, fraud, or copyright infringement. You are strictly prohibited from posting, sharing, or texting images, videos, or text that is obscene, pornographic, defamatory, hateful, threatening, or depicts violence or illegal acts.

4. Your content and responsibility

You retain ownership of the videos, text, images, and other content you create or upload (“User Content”). You acknowledge and represent that you own or have the necessary licenses, rights, and permissions to all text and video content you share, including any music, images, voices, and likenesses appearing in it, and that its use through the Service does not violate anyone's rights.

You grant us a limited, non-exclusive, worldwide license to host, store, process, adapt (for example, to trim, add titles or logos, and encode), and deliver your User Content solely to provide and operate the Service on your behalf. This license ends when your content is deleted, except for copies retained for legal or backup purposes for a reasonable period.

5. Invitations, messaging, and consent

The Service lets you send invitations and messages by text message, email, and links you may post to social platforms. You are responsible for having a prior relationship with, and the consent of, each person you contact. You agree not to send unsolicited or bulk messages and to comply with all applicable communications laws, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and mobile carrier requirements (including A2P 10DLC registration). You agree to honor opt-out requests promptly, and you authorize us to include standard opt-out language and to stop messages to anyone who opts out.

5a. Text messaging program (SMS)

If you opt in to receive text messages from a church that uses InviterVideo, the following applies. You will receive messages such as invitations, service and event reminders, follow-ups, and occasional updates from that church. Message frequency varies. Message and data rates may apply. Reply STOP at any time to unsubscribe, and reply HELP for help. Consent to receive text messages is not a condition of any purchase. Carriers are not liable for delayed or undelivered messages. Supported carriers may change and are not guaranteed.

6. Content moderation and right to terminate

We reserve the right, but assume no obligation, to monitor, review, filter, or delete any content or communications on the Service. Any violation of these Terms or the Acceptable Use Policy will result in immediate termination or suspension of texting and video-sharing services without prior notice, at our sole discretion.

7. Subscriptions, trials, and payment

Paid plans are billed in advance on a recurring basis through our payment processor. Free trials, if offered, convert to paid subscriptions unless canceled before the trial ends. You may cancel at any time; cancellation stops future billing but does not entitle you to a refund of amounts already paid, except where required by law. Messaging usage (such as text messages) may incur additional charges as described at sign-up.

8. Storage limits and fair use

Each plan includes a set amount of video storage and a set number of inviting members, as described at sign-up. We may set, and from time to time change, reasonable limits on storage, file sizes, video length, and overall usage. If your church exceeds its plan's storage, we may ask you to upgrade, remove content, or we may remove older or unused content on your behalf, with reasonable notice where practical. You are responsible for keeping your own copies of any content you wish to retain.

9. Intellectual property

The Service, including its software, design, and branding, is owned by us and protected by law. These Terms grant you no rights in our intellectual property except the limited right to use the Service as permitted here.

10. Copyright and DMCA

We respect intellectual property rights and will respond to valid notices of alleged infringement. If you believe content on the Service infringes your copyright, contact our designated agent at support@invitervideo.com with the information required by the Digital Millennium Copyright Act. We may remove content and terminate repeat infringers.

11. Third-party services

The Service relies on third-party providers (for example, for login, storage, video delivery, messaging, and payments). Your use may also be subject to their terms. We are not responsible for third-party services.

12. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that messages will be delivered.

13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the Service, your messaging to others, or your violation of these Terms or any law or third-party right.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time for violation of these Terms or as otherwise described here. Upon termination, your right to use the Service ends.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use after changes take effect constitutes acceptance.

17. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Alachua County, Florida for any dispute not subject to arbitration.
